Final Annual Figures for 2021

According to the final figures, during the business year 2021 the company sales revenues of InterCard AG Informationssysteme amounted to TEUR 23,059. During the previous year the concern revenues amounted to TEUR 20,662. The increase is due primarily to the consolidation of our new majority holding IDpendant, which is included for the entire year for the first time.

During the business year 2021 the EBITDA of the concern amounted to TEUR 1,891 (after TEUR 2,304 during the previous year); the EBIT amounted to TEUR 745 (after TEUR 1,164 during the previous year) and the earnings before taxes (EBT) amounted to TEUR 591 (after TEUR 1,036 during 2020). During the business year the annual surplus amounted to TEUR 306 (previous year TEUR 532).

Preliminary Annual Figures 2021

According to the preliminary figures, during the business year 2021 the company sales revenues of InterCard AG Informationssysteme increased from EUR 20.7 million to EUR 23.1 million. The increase is due primarily to the consolidation of our new majority holding IDpendant, which is included for the entire year for the first time. Moreover, the InterCard Group has started into the new business year 2022 with a very good backlog of orders.

As was to be expected, the concern result was still negatively affected by the closures in the universities which form our core market as a result of the pandemic. Nonetheless, according to the preliminary figures the EBITDA amounted to TEUR 1,848 (previous year: TEUR 2,315), the EBIT amounted to TEUR 702 (previous year: TEUR 1,175) and the EBT amounted to TEUR 548 (previous year: TEUR 1,047). It was during 2021 that the financial effects of the pandemic reached their high point. By contrast, the previous year 2020 had begun with high revenues during the first quarter.

Our university customers have opened again and have thus evidently largely put the problems of 2021 behind them. Thus installations in our previous core market, the universities, are generally possible again.

Against this background, as of the end of 2021 InterCard has now completely ended the short working hours which it had taken advantage of in the interim period and is currently recruiting new staff in sales, both nationally and internationally, in order to accelerate the marketing of the new system also beyond the university sector.

Positive business development

InterCard AG Informationssysteme ended the business year 2021 successfully and once again exhibited a clear margin of profitable growth. Furthermore, the InterCard Group has started the new business year 2022 with a very good order surplus.

The concern’s turnover increased during the business year 2021 from approx. EUR 21 million to approx. EUR 24 million. This is due mainly to the consolidation of our new majority holding IDpendant, which was included for the whole year for the first time.

It is expected that the preliminary concern figures for the business year 2021 will be published on 1.4.2022.

Our university customers are open once more and have thus evidently left the year 2021, which was still negatively affected by the pandemic, largely behind them. In general, installations in our previous core market, the universities, are thus possible once more.

Against this background, as of the end of 2021 InterCard has completely ended the short-time working which was used in the interim as a temporary measure. New staff are currently being recruited nationally and internationally, especially in Sales, in order to accelerate the marketing of the new system also beyond the university sector.

Increase in capital placed in full

InterCard AG Informationssysteme has placed in full its increase in capital to the amount of 302,970 shares at a price of EUR 7.50 per share. 122,043 shares were subscribed from subscription rights. The subsequent private placement was oversubscribed several times. The shares for the private placement are being allocated to participants in the previously held virtual roadshows.

The gross underwriting revenue amounts to approx. EUR 2.3 million. The funds will serve to strengthen our sales in new markets both nationally and internationally as well as the continuation of our acquisition strategy.

The increase in capital will now be registered for entry in the commercial register. After registration the new shares will be transferred to the shareholders.

The increase in capital was accompanied by GBC Kapital and BankM.

Start of the Subscription Period

– Not for distribution, publication or redirection in the United States, Australia, Canada and Japan –

InterCard AG Informationssysteme is carrying out a cash capital increase with subscription right. The subscription period for the exercise of the subscription rights begins today, 24.11.2021 and runs until and including 8.12.2021.

The capital increase is expected to be oversubscribed, since the subscription requests received from the accompanying roadshow already exceed the entire issue. Subscriptions for the planned private placement will be allocated following the subscription rights. After completion of the capital increase the company will acquire a gross issue volume of EUR 2.25 million.

Each existing shareholder has a subscription right in the capital increase currently taking place before the event.

For every 20 shares held, the subscription right entitles the holder to 3 new shares at a price of EUR 7.50. Further details are listed in the subscription offer, which was published in the Bundesanzeiger and on www.intercard.org/investoren. Shares subscribed to via the subscription rights are always reliably allocated, even if the share price lies above the subscription price and the demand is greater than the supply. Further over-subscription is not possible. Only the new shares not allocated via the subscription rights are sold by the company within the framework of the private placement.

Shareholders who wish to make use of their subscription rights, should contact their depositary bank, ideally at the beginning of the subscription period from 24.11.2021 until 08.12.2021 (24:00 hours/midnight), or should avail themselves of the active possibilities which their depositary bank offers them. InterCard AG Informationssysteme decides on a cash capital increase with subscription rights

– Not for distribution, publication or redirection in the United States, Australia, Canada and Japan –

The management of InterCard AG Informationssysteme has decided today, with the agreement of the supervisory board, to increase the capital stock of the company up to EUR 2,323,633.00, by means of a cash capital increase of up to EUR 302,970.00 and by making partial use of the Approved Capital of EUR 2,020,663.

This will occur through the issue of up to 302,970 new no-par value bearer shares, each with a proportional share of the capital stock of EUR 1.00, which will be entitled to participate from 01.01.2021.

Shareholders will be granted a subscription right. The subscription price is set at EUR 7.50. The subscription period is expected to begin on 24.11.2021 (0:00 hours) and is expected to end on 8.12.2021 (24:00 hours/midnight).

New shares not taken up by the shareholders as part of their subscription rights within the subscription period may be offered by the company to selected investors within the framework of a private placement at the determined subscription price.

The legal subscription right will be granted to the shareholders as an indirect subscription right in such a way that the new shares will be signed by the commissioned credit institute at the emission price of EUR 1.00 per share and will be taken over with an obligation to offer them to the shareholders at a ratio of 20:3 (3 new shares for every 20 existing shares) and at a subscription price of EUR 7.50, and to deliver the new shares after registration of the execution of the capital increase in the commercial register in accordance with the exercised subscription rights.

Further details will be described in the subscription offer, which will be published in the Bundesanzeiger in good time before the start of the subscription period.

The public offer will take place without a prospectus in accordance with § 3 no. 2 of the Securities Prospectus Act (Exceptions to the Obligation of Publishing a Prospectus). Shareholders and investors are recommended to read the securities information sheet produced by the company, which will be available on the company’s website before the start of the subscription period.
